Key Responsibilities Risk Management & Compliance (50%)
Oversee corporate insurance programs, claims management, and relationships with brokers/insurers. Develop and oversee enterprise risk management strategies tailored to special education operations.
Identify, assess, and monitor risks (legal, financial, reputational, operational) related to student services, school operations, and staff conduct.
Provide risk dashboards and regular updates to the executive team and Board of Directors.
Promote risk‑awareness and accountability across the organization through training and communication.
Legal Support & Paralegal Duties (50%) Corporate Governance & Entity Management
Maintain corporate records and subsidiary entity database.
Assist with preparation and filing of annual reports, board consents, and governance documentation.
Support board and committee meetings, including drafting minutes and tracking resolutions.
Mergers & Acquisitions
Assist with due diligence, document collection, and closing checklists for acquisitions and strategic transactions.
Manage post‑closing integration tasks, including entity formation, registrations, and compliance filings.
Contract Administration
Assist with drafting, reviewing and managing a wide range of contracts, including vendor agreements, independent contractor agreements, nondisclosure agreements, and school district service contracts.
Maintain the contract management system, monitor key deadlines, and track renewals.
Regulatory Compliance
Support compliance with FERPA, HIPAA, IDEA, and other laws relevant to special education and related healthcare services.
Assist with licensing, certifications, and regulatory filings across multiple states. Coordinate with HR and operations teams on background checks, credentialing, and employee compliance requirements.
General Legal Support
Conduct legal and factual research on corporate, education, and healthcare regulatory issues.
Assist in drafting internal policies, procedures, and training materials.
Provide litigation support as needed, including subpoenas, discovery, and document retention.
Qualifications
Bachelor’s degree and/or paralegal certificate required.
3–5+ years of corporate paralegal experience, preferably in a private equity, healthcare, or education setting.
Strong knowledge of corporate governance, entity management, and M&A support.
Excellent organizational skills and attention to detail.
Ability to manage multiple projects and deadlines in a fast‑paced, high‑growth environment.
Proficiency in Microsoft Office Suite; experience with contract management or entity management software a plus.
Ability to handle sensitive information with discretion and professionalism.
