Job Details: We are seeking a dynamic and experienced Associate Attorney specializing in Commercial Lending to join our esteemed legal team. The ideal candidate will have a proven track record in handling complex commercial lending transactions, and will be responsible for providing legal guidance and advice to our clients, primarily institutional lenders. This role involves working on a variety of commercial loan transactions including mezzanine, construction, balance sheet, and bridge loans. The successful candidate will also be expected to review organizational documents, understand the structure of borrowing entities, and review commitment letters, term sheets, fee letters, credit agreements, and ancillary loan documents.

Responsibilities: Represent institutional lenders in all aspects of commercial lending, including property acquisition, leveraged buyouts, recapitalizations, and refinancing. Draft, review, and negotiate a broad range of commercial loan documents including commitment letters, term sheets, fee letters, credit agreements, and ancillary loan documents. Conduct comprehensive review of organizational documents and understand the structure of borrowing entities. Provide legal advice and guidance on a variety of commercial lending issues. Work closely with clients to understand their needs and develop tailored solutions. Stay abreast of legal developments affecting the commercial lending industry, and advise clients accordingly. Collaborate with other attorneys and professionals to provide superior client service.

Qualifications: Juris Doctorate from an accredited law school. A minimum of 1-3 years of experience in commercial lending experience, preferably with a focus on institutional lenders. Strong knowledge of commercial loan transactions including mezzanine, construction, balance sheet, and bridge loans. Proven experience with the review of organizational documents and understanding the structure of borrowing entities. Demonstrated ability to draft, review, and negotiate commitment letters, term sheets, fee letters, credit agreements, and ancillary loan documents. Excellent problem-solving, negotiation, and communication skills. Ability to handle large, complex transactions and manage multiple projects simultaneously. Member in good standing of a state bar. Strong commitment to client service and demonstrated ability to build and maintain client relationships. Ability to work independently and as part of a team in a fast-paced environment. Proficiency in legal research tools and software. Excellent written and verbal communication skills. Strong attention to detail and organizational skills.
