This position is based in Naples, FL. Remote optional for the right candidate. Main Objective: Responsible for protecting the organization's legal interests and maintaining its operations within the scope established by law. Essential Duties and Responsibilities: Provides advice and counsel to various internal functions and will draft, edit, negotiate, review and interpret complex commercial agreements spanning across all functions within the company, including, asset purchase agreements/merger agreements, development agreements, sales agreements, distribution agreements, confidentiality agreements, consulting agreements, and service agreements. Lead due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed. Assist the Deputy General Counsel and General Counsel in the resolution of legal issues that arise in existing commercial relationships. Assist the Deputy General Counsel and General Counsel company’s legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices. Manages the development and implementation of global legal strategies relating to global commercial activities. Provides timely advice and counsel to executives and senior management by advising the business on laws, regulations, and company policies. May supervise attorney(s) and legal support staff Up to 10% of travel may be required.
Education and Experience: Must be a graduate of an accredited law school 5-10 years’ experience required as an attorney in corporate and transactional law within a law firm and/or in house setting Must be admitted into and a member in good standing of a state bar Experience in the medical device, pharmaceutical, or life sciences industry preferred
Knowledge and Skill Requirements/Specialized Courses and/or Training: Advanced writing, comprehensive reading, communication and research skills required. Electronic based legal research experience required.
