Position Summary The

Contracts Manager

will be responsible for defining, negotiating, and managing all business contracts to ensure that commercial terms, risks, and obligations are fully addressed and aligned with company objectives. This role will oversee the full contract lifecycle—from drafting and negotiation through execution and compliance monitoring—for construction, capital expenditure (Capex), subcontractor, and service agreements.

The Contracts Manager will collaborate closely with internal stakeholders in Finance, Legal, Procurement, and Operations to safeguard the company’s interests, ensure adherence to contractual terms, and maintain compliance with all applicable laws, specifications, and corporate standards.

Key Responsibilities Contract Development & Execution

Prepare, review, and finalize contracts to be executed with vendors, subcontractors, and service providers.

Draft and negotiate business agreements, including construction, Capex, and service contracts, ensuring alignment with company policies and legal requirements.

Manage Master Service Agreements (MSAs) and Long-Term Agreements (LTAs), ensuring appropriate risk mitigation and compliance with applicable laws and regulations.

Review and negotiate contractual terms and conditions received from vendors, ensuring VTC/GTC compliance and protecting the company from commercial and legal risks.

Drive vendor performance by enforcing contractual obligations and maintaining accountability to agreed timelines and deliverables.

Identify, assess, and mitigate potential risks related to scope, schedule, pricing, and compliance.

Coordination & Stakeholder Engagement

Collaborate with Finance, Procurement, Legal, and Project Management teams to align contracts with financial, operational, and strategic goals.

Ensure all stakeholders understand their contractual obligations and support contract execution throughout the project lifecycle.

Facilitate communication and resolution of contractual issues across departments.

Compliance & Audit

Safeguard company interests by maintaining and enforcing confidentiality and non-disclosure agreements (NDAs) with customers and vendors.

Conduct regular contract audits to ensure all agreements remain current, compliant, and renewed on time.

Monitor vendor and subcontractor adherence to contractual terms and initiate corrective actions when required.

Recordkeeping & Administration

Maintain a comprehensive and organized repository of all contracts, amendments, and related documents.

Implement systems and processes for efficient contract tracking, review cycles, and renewals.

Provide periodic reports and updates to leadership on contract status, compliance, and risk exposure.

Education, Experience & Competencies Education

Bachelor’s degree in Business Administration, Law, Construction Management, or related field required.

Experience

Minimum

15+ years of experience

in contract management, legal review, and commercial negotiation—preferably within construction, Capex project management, or industrial/manufacturing environments.

Demonstrated experience in drafting and negotiating complex contracts with vendors, subcontractors, and service providers.

Strong understanding of contractual law, risk management, and compliance frameworks.

Exceptional negotiation and communication skills.

Deep knowledge of contract law, commercial terms, and risk mitigation principles.

Ability to manage multiple complex contracts simultaneously.

High attention to detail with strong organizational and analytical abilities.

Proficiency in contract management systems and Microsoft Office tools.

Proven ability to collaborate cross-functionally and influence decision-making at all organizational levels.
