Position Overview We are seeking an accomplished and strategic General Counsel to lead TECfusions’ legal department and serve as the company’s chief legal advisor. The General Counsel will provide leadership and oversight on all legal matters, including large-scale industrial real estate, construction law, complex financial transactions, corporate governance, intellectual property, and litigation management. This role requires both executive-level judgment and hands‑on legal expertise to support the company’s rapid growth in industrial redevelopment, technology, renewable energy, and global infrastructure projects.
Key Responsibilities
Provide strategic legal advice to the Founder, Board of Directors, and executive leadership on company initiatives, risk management, and regulatory compliance.
Oversee all corporate governance activities, including formation, compliance, and maintenance of domestic and international entities.
Develop and lead the company’s legal strategy to support growth, mergers and acquisitions, joint ventures, and strategic partnerships.
Manage relationships with outside counsel, regulatory agencies, and other key external stakeholders.
Provide legal oversight on industrial and commercial real estate matters including acquisitions, ground leases, build‑to‑suit developments, and complex site transactions for data center and large‑scale infrastructure projects.
Draft and negotiate industrial property purchase agreements, long‑term ground leases, easements, utility access rights, and environmental and permitting documentation.
Guide comprehensive due diligence, site entitlement, and permitting processes in collaboration with engineering, construction, and governmental agencies to ensure compliance and development readiness.
Construction Law
Draft, negotiate, and enforce construction and development contracts including EPC (Engineering, Procurement, and Construction) agreements, design‑build and subcontractor agreements, and vendor supply terms.
Advise on industrial construction disputes, scheduling issues, change orders, project delays, and defect claims; oversee resolution through negotiation, mediation, or litigation.
Ensure compliance with industrial construction standards, environmental regulations, occupational safety requirements, and jurisdictional codes across multiple states and international projects.
Financial Transactions
Provide legal support for financing activities including project finance, joint ventures, and capital raises.
Negotiate and draft loan agreements, security instruments, and investment contracts.
Support investor relations and compliance with securities and financial reporting requirements.
Intellectual Property & Technology
Oversee protection of company IP assets including patents, trademarks, and proprietary technologies.
Advise on licensing, technology partnerships, and confidentiality agreements.
Support development and protection of proprietary innovations related to sustainable infrastructure and energy solutions.
Direct all litigation, arbitration, and dispute resolution efforts, including coordination with external counsel.
Develop and implement risk mitigation strategies to avoid or resolve disputes efficiently.
Qualifications Education
Juris Doctor (JD) degree from an accredited law school.
Active membership in good standing with at least one U.S. state bar (Florida preferred).
Experience
Minimum of 12+ years of progressive legal experience, with at least 5 years in a senior leadership or General Counsel capacity.
Strong background in industrial and commercial real estate law, construction law, and complex financial transactions.
Demonstrated experience in intellectual property management, contract negotiation, and general litigation related to large-scale infrastructure, manufacturing, or energy projects.
Experience working in technology, renewable energy, or large-scale industrial and infrastructure sectors preferred.
