General Counse
l to serve as the firm’s senior legal, regulatory, and strategic advisor—responsible for leading all legal functions across 140 Capital’s investment, lending, operations, and partnership activities. This role is central to shaping the legal architecture of one of the most active, diversified single‑family office investment platforms in the U.S.
The General Counsel will lead internal governance and legal strategy, while coordinating and managing specialized external counsel across transactions, regulatory matters, and jurisdictional complexities. This role is not about replacing outside legal partners—it’s about orchestrating, directing, and ensuring excellence across them.
This position reports directly to executive leadership.
Key Responsibilities
Architect and lead the firm’s legal strategy in alignment with investment priorities and long‑term enterprise goals.
Advise executive leadership on governance, risk management, and regulatory frameworks across multiple business lines.
Maintain corporate structure oversight, subsidiary governance, ownership, and incentive alignment.
Transaction & Investment Documentation
Oversee legal execution of real estate, credit, preferred equity, JV, and venture transactions.
Direct external counsel in negotiation of loan documents, purchase agreements, JV and operating agreements, corporate financings, and partnership structures.
Guide due diligence on acquisitions, entitlements, title, zoning, and environmental matters.
Regulatory & Compliance Oversight
Ensure compliance with federal, state, and local regulations impacting private credit, securities, employment, and investment operations.
Build and manage internal compliance frameworks suitable for a multi‑jurisdictional investment platform.
Monitor evolving regulatory trends affecting alternative credit and private investment markets.
Identify, evaluate, and mitigate legal and operational risks across the portfolio and lending platform.
Coordinate any disputes, claims, or litigation through external counsel while safeguarding firm reputation and interests.
External Counsel & Stakeholder Relationships
Establish and direct a national network of specialized outside counsel.
Ensure efficient, cost‑conscious, and high‑standard execution across all legal workstreams.
Function as a strategic business partner to investment, operations, and finance leadership teams.
What We Are Looking For
Juris Doctor (JD) and active bar membership in New York and Florida
7+ years of relevant legal experience, ideally within private credit, real estate private equity, structured investments, or a sophisticated family office / institutional investment environment.
Demonstrated experience leading complex transactions and coordinating external counsel.
Deep command of deal structuring, credit documentation, partnership agreements, and regulatory compliance frameworks.
Ability to balance legal rigor with business‑focused judgment and strategic execution.
Comfort operating in a high‑velocity, entrepreneurial, performance‑driven environment while maintaining institutional discipline.
Experience in leveraging AI and technology in legal applications.
