M&A Due Diligence Consultant (Transaction Advisory Services) Terms of Employment

Full-Time, Permanent

This position is remote. Candidates should have the ability to travel nationally 10-15%.

Overview Our client is seeking an M&A Due Diligence Consultant to join their Financial Due Diligence team within the Transaction Advisory Services (TAS) practice. In this dynamic role, you will collaborate with their nationally recognized Mergers and Acquisitions (M&A) Advisory professionals, serving both corporate and private equity clients. Their holistic M&A group supports clients across the entire transaction lifecycle – from readiness and pre-close diligence through post-transaction integration and execution. As part of the TAS team, you will provide financial, technology, and operational diligence services that help clients make informed investment decisions and maximize transaction value.

You will…

Perform buy-side and sell-side financial due diligence for clients acquiring or divesting businesses.

Participate in client meetings and site visits, engaging directly with senior management to gather critical information for analysis.

Prepare detailed financial and analytical reports to support client decision-making on acquisitions, divestitures, and financing.

Conduct analyses of quality of earnings, working capital trends, and normalized EBITDA adjustments.

Develop Excel-based financial models and perform scenario/sensitivity analysis as needed.

Collaborate with other RSM practice areas, including Tax, Audit, and Consulting, to deliver integrated M&A advisory solutions.

Use various firm-designated analytical and presentation tools to produce high-quality deliverables.

Required Qualifications

Bachelor’s degree in Accounting, Finance, or Economics; CPA or CFA (or progress toward either) strongly preferred.

2 to 5 years of experience in public accounting, consulting, or corporate development, ideally involving M&A, transaction advisory, or financial due diligence engagements.

Demonstrated ability to analyze financial statements, assess quality of earnings, and evaluate working capital and EBITDA adjustments.

Strong proficiency in Microsoft Excel (pivot tables, lookups, data analysis) and PowerPoint.

Familiarity with valuation concepts, deal structures, and transaction documentation (LOIs, purchase agreements) preferred.

Excellent communication and presentation skills, with the ability to summarize complex findings clearly and confidently.

Highly organized, detail-oriented, and capable of managing multiple concurrent projects.

Ability to travel nationally up to 10–15%.

Preferred Qualifications

Experience working within a Big 4 or national accounting firm in Transaction Advisory Services (TAS), Financial Due Diligence (FDD), or Deal Advisory.

Exposure to private equity transactions, including portfolio company diligence and add-on acquisitions.

Working knowledge of valuation, corporate finance, or investment banking principles.

Familiarity with data analytics tools (e.g., Power BI, Alteryx, Tableau) or advanced Excel modeling.

Proven ability to manage client relationships and support engagement teams in fast-paced, deadline-driven environments.

Strong interest in career progression within M&A advisory and a demonstrated passion for deal execution and client service.
