Position:
Divisional General Counsel – South Carolina Overview: Our client is seeking an experienced and strategic Divisional General Counsel to serve as a key legal partner to senior leadership. In this hands-on role, you will translate the company’s vision into effective legal strategies that safeguard the holding company and its diverse portfolio of businesses. This position demands sharp legal acumen, sound judgment, and the ability to navigate complex operational and regulatory challenges across industries including manufacturing, investment, and distribution. The ideal candidate will be a seasoned legal executive with broad expertise spanning corporate governance, securities, labor and employment law, investment structuring, and regulatory compliance. You will play a critical role advising the executive team, protecting company interests, and ensuring all portfolio businesses operate within their respective legal frameworks. Key Responsibilities: Provide strategic legal counsel to senior leadership on a wide range of business and legal matters, offering risk-based guidance. Develop and enforce internal legal policies, frameworks, and controls to mitigate organizational risk. Oversee compliance with federal and state laws, including securities regulations and financial disclosure mandates. Structure investment funds and transactions in accordance with legal and tax requirements. Ensure regulatory compliance across multiple industries such as transportation, environmental standards, and manufacturing. Advise on compliance with Federal Trade Commission (FTC) regulations and the Franchise Rule. Lead corporate governance efforts and support board activities within the holding company and portfolio entities. Draft, review, and negotiate complex agreements including shareholder agreements, vendor and supplier contracts, partnership agreements, and service contracts. Manage litigation, regulatory issues, and relationships with outside counsel. Identify and address legal and commercial risks, including contract disputes, compliance gaps, and investment risks. Support employment law matters including employee relations, labor law compliance, and employment contract negotiations (NDAs, non-competes, employment agreements). Oversee internal legal operations and contribute to strategic business planning initiatives. Qualifications: Juris Doctor (JD) from an accredited U.S. law school. Minimum 10 years of legal experience, including senior leadership roles in corporate legal departments or major law firms. Proven track record as General Counsel or senior legal executive, ideally within a holding company or multi-entity corporate environment. (desired) Extensive knowledge of corporate, regulatory, and commercial law. Exceptional judgment, negotiation skills, and interpersonal communication abilities.
