Corporate Paralegal We are seeking a detail-oriented and proactive Corporate Paralegal with specialized experience in fund formation to join our legal team. This role will support attorneys in the structuring, formation, and maintenance of private investment funds, including venture capital, private equity, and hedge funds. The ideal candidate will have a strong understanding of corporate governance, securities filings, and regulatory compliance related to fund entities.

Key Responsibilities

Assist with the formation and structuring of domestic and international investment funds, including drafting formation documents (LLC agreements, LP agreements, operating agreements).

Coordinate with outside counsel and internal stakeholders to manage fund closings and investor onboarding.

Prepare and file entity formation documents with state agencies and maintain corporate records.

Draft and maintain fund-related documentation such as subscription agreements, side letters, and investor communications.

Support compliance with SEC, FINRA, and other regulatory bodies, including Form D filings and Blue Sky filings.

Maintain and update organizational charts, cap tables, and fund structures.

Track key dates and deliverables related to fund lifecycle events (e.g., closings, amendments, renewals).

Conduct legal research and assist with due diligence for fund-related transactions.

Manage document execution and signature processes, including DocuSign and wet signatures.

Assist with KYC/AML documentation and investor verification processes.

Qualifications

Bachelor's degree required; Paralegal certificate from an ABA‑accredited program preferred.

Minimum of 3-5 years of corporate paralegal experience, with a strong emphasis on fund formation.

Experience working in a law firm or in‑house legal department supporting private funds.

Familiarity with SEC regulations, Blue Sky laws, and other fund‑related compliance requirements.

Proficiency in Microsoft Office Suite and legal entity management software.

Exceptional organizational skills and attention to detail.

Strong written and verbal communication skills.

Ability to manage multiple priorities in a fast‑paced environment.
