Overview

Job Title: SEC & Governance Paralegal Primary Role: The Senior SEC/Governance Paralegal will report to the Vice President, Chief SEC Counsel and Secretary within the Legal Counsel & Services Department. The Senior SEC/Governance Paralegal will independently handle or provide support to the Corporate Secretary and the SEC Counsel, as appropriate for the matter, with respect to: (1) various SEC and corporate matters, including compliance processes associated with SEC and Section 16 filings, equity and debt financings, management of the insider trading window preclearance process, (2) various corporate governance and executive and director compensation matters, (3) corporate and subsidiary management activities and compliance, (4) compliance with New York Stock Exchange (NYSE) regulations, and (5) other responsibilities assigned by the Corporate Secretary or the SEC Counsel. The Senior SEC/Governance Paralegal may also assist the Corporate Secretary with matters associated with the operation and governance of American Water’s Board of Directors and its committees. The Senior SEC/Governance Paralegal may serve as Assistant Secretary to one or more entities, as appropriate and when designated by the Board of Directors of each such entity at the request of the Corporate Secretary.

Responsibilities

Assist with legal and compliance processes associated with the preparation of various SEC filings, including Forms 10-K and 10-Q, Form 11-K and Section 16 filings

Assist the Corporate Secretary and SEC Counsel with due diligence and other matters associated with the Company’s equity and debt financing transactions, including due diligence and closing documents

Assist with the filing of registration statements on Forms S-3 and S-8, and proxy statements, including D&O questionnaires and other due diligence

Assist the Corporate Secretary and SEC Counsel with matters attendant to American Water’s annual meeting of shareholders

Manage the insider trading window preclearance process, including the acceptance, review and processing of preclearance requests

Assist the Corporate Secretary with beneficial ownership reporting and tracking, and compliance with the Company’s executive and director stock ownership guidelines and stock retention requirements

Assist the Corporate Secretary and SEC Counsel with various corporate governance matters, including the preparation or revision of corporate documentation, charters, governance guidelines, and research on public company corporate governance trends and developments

Oversee and manage subsidiary management activities to ensure subsidiaries comply with corporate legal requirements, including maintaining entity books and records and filing annual and other reports

Maintain and manage the database for the Company's subsidiaries, and support processes designed to provide subsidiary management information

With appropriate oversight, manage compliance with NYSE listing standards and requirements, including preparation of annual and interim written affirmations, officer listing changes, and dividend and annual meeting notices

Assist the Corporate Secretary with all matters related to the American Water Board of Directors and committees, including preparing for Board and committee meetings, agendas, minutes, resolutions and materials

Management, operation and governance of the Company’s board information portal and assistance with the management of the Corporate Vault

Other responsibilities as assigned by the Corporate Secretary or the SEC Counsel

Knowledge/Skills

Strong legal research and writing skills

Advanced knowledge of MS Office Suite, Diligent Board Books portal, Workiva, NYSE Listing Manager portal, internet options/sites, and CT Corporation’s hCue database (preferred)

Strong project management skills with ability to manage multiple projects and meet deadlines in a fast-paced environment

Superior organizational and planning skills

Experience/Education

Associate or Bachelor’s degree required, Paralegal Certification or Equivalent (including CCGP Certification)

Minimum of eight years of relevant experience in SEC/securities, corporate governance, and corporate secretary

Experience working with boards of directors and entity/subsidiary management for public companies; either entirely in-house or a combination

At least three years of in-house experience; remaining experience at reputable national or international law firm

Licenses & Certifications

Active State Driver's License required with the ability to pass a motor vehicle report
