Corporate Paralegal

Cooley is seeking a Corporate Paralegal to join the NY team.

Position Summary Corporate paralegals provide legal support with general corporate maintenance and complex transactions for both private and public company clients. Specific duties and responsibilities include, but are not limited to:

Position responsibilities:

Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.

Coordinate closings and prepare related documents.

Prepare legal opinions and assemble opinion backup.

Draft and file corporate and securities filings.

Organize corporate records and conduct due diligence reviews.

Prepare stock certificates and maintain capitalization tables and option records.

Research Blue Sky issues and prepare required filings.

Provide training to case assistants and junior paralegals.

Perform other tasks as assigned or required.

Skills and experience: Required :

Bachelor's degree.

3+ years of transactional experience in Private Equity, Capital Markets, and M&A matters is desired.

Availability to work overtime as required.

Proficiency in the Microsoft Office suite, with advanced knowledge of Excel preferred.

Preferred :

Familiarity with Carta, Shareworks, or similar web-based equity tracking systems.

Previous law firm experience.

Competencies:

Excellent oral and written communication skills.

Strong attention to detail with the ability to manage multiple priorities and track extensive details to deliver excellent client service.

Ability to establish and maintain good working relationships and handle confidential information sensitively and discreetly.

Excellent organizational skills.

Cooley LLP offers a competitive compensation and excellent benefits program. EOE.

The expected hourly pay range for this position, based on a 40-hour work week, is $41.00 - $54.00, which equates to $85,280.00 - $112,320.00 annually. Final offer amounts depend on geographic location, experience, and skillset.
