Senior M&A and Commercial Transactions Counsel LegalZoom

invites applications for the Senior M&A and Commercial Transactions Counsel role. The position is 100% remote, based for candidates located in Austin or Los Angeles.

Location This role is based in Austin, TX, or Los Angeles, CA, and is fully remote.

Overview We seek a motivated legal professional with strong transactional skills, excellent judgment, and a practical, solution-oriented approach. The incumbent will support a wide variety of legal matters, from contract negotiation to strategic acquisitions, helping LegalZoom achieve its business goals while minimizing risk. Communication with cross‑functional teams and external partners is a key component of the role.

Key Responsibilities

Review, draft, and negotiate commercial agreements supporting LegalZoom’s business operations, including technology services, SaaS, licensing, employee benefits, and marketing agreements.

Act as a trusted partner to business stakeholders, addressing commercial risk swiftly and effectively.

Develop and maintain form documents, templates, and legal playbooks to streamline transactions.

Structure, negotiate, and draft strategic partnership transactions, addressing legal risk with business‑centric solutions.

Lead M&A transactions with external counsel, including due diligence, negotiations, and deal structuring.

Draft LOIs, purchase agreements, and related documents for M&A transactions.

Collaborate with internal stakeholders and external counsel to ensure smooth execution of M&A transactions.

Drive continuous improvement in legal processes and documentation standards.

Perform other duties as assigned; occasional travel may be required.

Skills & Competencies

5+ years of experience in a law firm or corporate legal department, primarily focused on M&A and commercial transactions.

Proficient drafting and negotiating commercial agreements such as SaaS, technology, marketing, and vendor contracts.

Excellent written and verbal communication skills, able to convey complex ideas clearly to internal teams.

Strong transactional acumen with the ability to balance detail orientation and practical advice.

Ability to work autonomously and collaboratively as part of a team.

Self‑starter who prioritizes workload, self‑manages projects, handles multiple tasks, and meets deadlines.

J.D. with active bar membership in good standing.

Compensation & Benefits National range: $151,500–$242,400, based on location, experience, education, and skills. Additional compensation may include an annual bonus, incentive bonus, and/or restricted stock units.
