Assistant Vice President of Legal Affairs / Senior Counsel – IT Contracting

Assistant General Counsel, Contracting and Transactions
RWJBarnabas Health, New Jersey’s largest integrated academic health care system, seeks an experienced Senior Counsel IT Contracting to support and guide the organization on information technology contracting and digital health initiatives. The Senior Counsel will draft, review, and negotiate a wide range of IT‑related agreements, including software licensing, SaaS, cloud computing, IT professional services, hardware procurement, AI related contracts, data security, interoperability, and vendor management contracts.
Qualifications
Juris Doctor from an accredited law school
Admission to the New Jersey Bar or ability to obtain limited in‑house license
Minimum 7+ years of legal experience, with at least 5 years focused on IT contracting, technology transactions, or related areas
Prior experience in healthcare, hospital systems, or other highly regulated industries strongly preferred
Strong knowledge of data privacy, cybersecurity, and intellectual property law
Excellent drafting, negotiation, and communication skills
Ability to manage multiple priorities in a fast‑paced, matrixed health system environment
Strong business judgment and problem‑solving skills, with a collaborative and pragmatic approach
Familiarity with the use of artificial intelligence and/or legal technology tools (e.g., contract lifecycle management systems, AI‑assisted contract review platforms)
Essential Functions
Draft, review, and negotiate contracts for software licensing, SaaS, cloud hosting, managed services, IT consulting and professional services, hardware and equipment procurement and maintenance, data sharing, data security, interoperability, and emerging technologies (AI, digital health platforms, telemedicine, mobile applications)
Partner with IT leadership, Procurement and Privacy in vendor evaluation and contract management
Ensure compliance with applicable laws, including HIPAA, HITECH, state privacy/security regulations, and healthcare‑specific cybersecurity standards
Advise on intellectual property, data ownership, licensing rights, and related risk allocation
Collaborate with Compliance and Privacy teams on data protection, breach response, and cybersecurity governance
Provide strategic legal advice to support IT modernization, digital transformation, and system‑wide technology initiatives
Develop and update contract templates, playbooks, and negotiation guidelines for IT agreements
Provide training and guidance to IT and business stakeholders on contracting principles and risk management
Assist with contract lifecycle management improvements and documentation management systems (e.g., iManage, Filesite, Contraxx)
Support other corporate transactions, projects, and health system initiatives as needed
