Job Title Lawyer—Private Assets
Department: Legal
Location: Charlotte, NC
Job Summary Barings is looking for a private asset (private credit and alternative investments) transactional attorney to become a member of the Global Private Assets Legal Team. The attorney for this group will be primarily responsible for assisting internal business clients with issues relating to private credit (senior secured bank loans, and project finance/infrastructure debt instruments), portfolio finance and private equity (control, minority and fund) investments and transactions. This role will be located at the firm’s headquarters in Charlotte, NC.
Primary Responsibilities
Review, analyze, and negotiate senior secured private credit investments, private placement bonds/notes, project finance/infrastructure transactions, portfolio finance, and private equity investments.
Provide day to day legal support to Private Assets internal business teams and portfolio managers.
Identify regulatory and operational issues relevant to a SEC registered investment adviser as they apply to investment transactions on behalf of third-party clients.
Communicate material legal, compliance and regulatory issues promptly to the firm’s relevant stakeholders.
Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines.
Provide support and counsel on special projects.
Qualifications
Minimum of 5 years relevant experience working at a law firm or financial institution
Experience drafting and negotiating private credit, portfolio finance and/or private equity investment agreements and related documentation
Knowledge of the Investment Advisers Act of 1940 preferred, but not required
Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment
Demonstrated ability to work effectively both independently and as part of a team
Ability and willingness to take ownership and responsibility for tasks
Detail-oriented and flexible with a strong work ethic
Superior organizational skills and the ability to manage heavy workload of diverse matters in a timely manner
High standards of personal integrity and sound business judgment
Diverse problem-solving skills in the investment arena
Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels
J.D. from a highly regarded law school and active membership in a U.S. state bar
Must be willing to comply with the provisions of Barings’ Code of Ethics related to personal securities activities and other disclosure and certification requirements
