Job Overview
The In-House Counsel (General Counsel) serves as the principal legal and strategic business advisor, reporting to the General Manager and Project Director. This position is responsible for guiding corporate, commercial, and regulatory matters, managing legal risk, supporting strategic business objectives, and ensuring compliance across operations and partnerships. The In-House Counsel will play a vital role in project financing, joint venture governance, major contracting, and coordination with Alaska Native Corporation partners, while overseeing key environmental and permitting obligations.
Roles And Responsibilities
Serve as a trusted advisor to executive management on legal, governance, and business strategy affecting project execution and corporate direction.
Provide legal review, drafting, and guidance on commercial transactions, contracts, procurement, and financial arrangements.
Ensure alignment of corporate governance, risk management, and compliance with ownership structure and business goals.
Lead and oversee negotiations for construction, services, logistics, and professional agreements to safeguard commercial interests.
Manage relationships and coordinate with external counsel, joint venture legal teams, and Alaska Native Corporation partners.
Identify, assess, and address corporate, financial, and operational risks; ensure compliance with all applicable laws, policies, and regulatory reporting requirements.
Advise on litigation strategies, dispute resolution, and internal investigations.
Oversee legal aspects of corporate filings, insurance, and contract administration.
Provide legal oversight and strategic direction for environmental permitting and compliance, collaborating with permitting and environmental teams.
Monitor legislative and regulatory changes affecting mine permitting, planning, and execution.
Liaise with external counsel and regulatory agencies for timely, compliant permitting activities.
Partner with leadership on integrated decision‑making across legal, business, and technical functions.
Represent the company in negotiations, regulatory matters, and stakeholder engagements.
Promote legal and business risk management awareness across departments.
Skills And Qualifications
Juris Doctorate (JD) degree required.
Minimum 10 years of legal experience in corporate, contracting, project development, and finance; mining sector experience preferred.
Substantive legal expertise relating to mining is essential.
Minimum of 5 years’ experience as General Counsel or senior legal advisor in the natural resources industry, preferably mining.
Active license to practice law in Alaska or eligibility to obtain licensure in Alaska.
Demonstrated experience negotiating and administering contracts for construction, operations, and financing of mining projects required.
Experience with contracts in the context of new mining project development highly desirable.
Experience with permitting and environmental issues and regulatory agencies preferred.
Strong analytical, communication, and interpersonal skills.
Thorough understanding of corporate governance, risk management, and contracting.
Ability to work collaboratively and lead across functional and project teams.
Job Details
Location: Local to Anchorage, Alaska office; includes required travel to the Yukon‑Kuskokwim region and project site.
Compensation: Competitive salary, commensurate with experience.
Schedule: Full-time, Monday–Friday; additional hours and travel as needed.
Reimbursements: Travel and business‑related expenses reimbursed according to company policy.
