The ideal candidate will be a creative thinker with strong problem-solving skills and the ability to stay calm under pressure, work independently, handle multiple assignments simultaneously, and effectively manage deliverables with time-sensitive deadlines. The ideal candidate will also have demonstrated increasing experience in domestic and cross-border commercial transactions, and intellectual property and technology matters. Strong drafting skills are required. Reporting to the Sr. Managing Counsel, Strategic Commercial Affairs, you'll play a valuable role working at our San Jose, California campus with the benefits of Align's flexible hybrid work schedule. You will be able to foster meaningful interactions, strengthen professional relationships, and contribute to a dynamic and innovative work environment. In this role, you will… Support our clear aligner, intraoral scanner, CAD/CAM software and AI dental x-ray diagnostics businesses Draft, review and negotiate various commercial agreements, such as NDAs, supply agreements, software license agreements, SaaS agreements, and services agreements and statements of work Be part of a cross-functional M&A team and support Align’s M&A activities, including assisting with the drafting, review and negotiation of term sheets, share purchase agreements, asset purchase agreements, license agreements and transition services agreements, and assist with due diligence as necessary Provide legal advice and support within the legal department and cross-functionally to other company departments Develop, review and guide clients regarding compliance with policies, procedures and instructions relating to legal matters Identify and research various legal issues and assessing their impact on Align’s businesses Stay current on applicable laws, regulations and industry policies Other responsibilities as needed In this role, you’ll need … JD degree from an accredited law school and active California bar membership 2+ years’ legal experience in a top tier law firm and/or in-house setting Experience in drafting, reviewing, and negotiating various types of commercial/vendor agreements Able to quickly understand the business’ needs, work effectively with teams to craft solutions, and efficiently deliver results Excellent communication with a high degree of curiosity and appetite for learning Demonstrated ability to work efficiently and collaboratively, learn quickly, meet deadlines in a fast-paced environment, prioritize workflow, and adjust to frequent change Sound like a good fit? Placement depends on the individual skills and experience level of a candidate plus the total compensation and equity across team members. For other locations outside of the primary location, the base salary range will be adjusted geographically. For field Sales roles, the salary listed is the base pay only and does not include the applicable commission plan. A cost of living adjustment may be added to base pay for higher cost areas in the U.S. Our internship hourly rates are a standard pay determined based on the position and your location, year in school, degree, and experience.
