Public Finance Attorney - Executive Director, Assistant General Counsel

Bring your expertise to JPMorgan Chase & Co. and support the Commercial and Investment Bank’s Public Finance business in the Americas. In this role you will partner with public sector clients to create innovative financing solutions for state and local governments, non‑profit institutions, and certain corporations that issue debt in the tax‑exempt and taxable capital markets.

Job responsibilities

Advise the Public Finance business on all relevant legal and regulatory matters, including securities laws and the SEC’s Municipal Advisor Rule, fair access and related issues.

Serve on both the Public Finance underwriting commitments committee and engagements committee.

Review and negotiate agreements related to bond underwritings, tenders, exchanges, private placements and direct purchases, such as bond purchase agreements, dealer‑manager agreements and private‑placement engagement letters.

Provide guidance on public‑finance advisory mandates and review engagement letters for such mandates.

Manage another attorney, supervise external counsel and handle knowledge‑management projects to support the internal legal team.

Work closely with internal lawyers and interact with bankers, compliance partners, the conflicts office and external counsel on a regular basis.

Required qualifications, capabilities, and skills

Juris Doctor (JD) required.

Minimum of seven years of legal experience, including experience as a public‑finance/municipal‑bond attorney in a law firm or equivalent in‑house position at a financial‑services firm.

Strong drafting and negotiation skills.

Proven ability to learn about and understand sophisticated financial transactions and products and to navigate complex legal, business and conflicts issues.

Excellent oral and written communication skills.

Proven ability to interact effectively with clients and with all levels of an organization, both internally and externally.

Proven ability to work independently and multitask successfully in a demanding, fast‑paced transactional environment.

All candidates for roles in the Legal department must be licensed to practice law in the country of employment and successfully complete a conflicts‑of‑interest clearance review prior to commencement of employment.
