ESOP Compliance Attorney – Flexible Location
Clark Hill PLC is seeking an experienced employee benefits attorney with at least 8 years of practice experience. This position is open to most of our Eastern and Texas offices, including Atlanta, Birmingham, Chicago, Detroit, Dallas, Grand Rapids, Lansing, New York, Pittsburgh, Philadelphia, Princeton, and Washington, D.C.

Responsibilities
Advise employee benefit plan sponsors on ERISA and IRS requirements for KSOPs and ESOPs.
Negotiate and draft executive employment agreements and incentive plans for employers and executives.
Provide counsel on ESOP‑related matters in the context of corporate mergers and acquisitions.
Review merger and acquisition agreements to identify ESOP implications.
Advise clients on compliance with Internal Revenue Code Sections 280G and 409A.
Maintain high standards of work ethic, attention to detail, initiative, and motivation.
Collaborate effectively within a team environment.
Qualifications
Expertise in employee stock ownership plans (ESOPs).
At least 8 years of practice experience in employee benefits law.
Strong academic credentials.
Ability to thrive in a team environment.
The salary range for this position at the time of posting is $350,000 - $475,000 annually, based upon a full‑time work schedule. Actual compensation will be influenced by various factors, including but not limited to employee qualifications, relevant experience, skill sets, training, internal equity, and market data. This position is eligible for an annual discretionary bonus.
