Project Manager, Transaction Diligence The
Project Manager, Transaction Diligence
will lead technical diligence efforts for tax equity and structured finance transactions across utility‑scale solar, wind, and battery energy storage (BESS). This role requires a strong foundation in project engineering, the ability to evaluate and translate technical risks into commercial impacts, and effective coordination across internal teams, independent engineers, and external investors. The ideal candidate will bring a balance of technical acumen, financial literacy, and strong stakeholder management to support successful deal execution through financial close.
Role Responsibilities Technical Due Diligence
Lead the technical due diligence process for project financing, working with IEs and internal SMEs.
Proactively track diligence logs to resolve all technical Q&A.
Review and validate energy yield assessments, OEM specifications and test reports, IE reports, and technical drawings.
Identify and mitigate technical risks impacting project financing and bankability.
Ensure compliance with industry standards, regulatory requirements, and lender expectations.
Project Management
Manage deliverables across cross‑functional teams (engineering, project execution, transmission, construction, commercial, and finance) to ensure seamless coordination during the financing process.
Maintain project timelines, deliverables, and risk registers for technical diligence activities.
Work closely with investors and technical SMEs to implement feedback from lessons‑learned in project specifications to align with financing requirements.
Facilitate communication between internal stakeholders, investors, and external advisors.
Structured Finance & Transaction Support
Provide technical input for financing agreements, term sheets, and lender requirements.
Engage with independent engineers, lenders, and consultants to address due diligence queries.
Review and negotiate technical aspects of project contracts (EPC, O&M, PPA).
Assist in the financial close process, ensuring technical compliance with lenders’ conditions precedents.
Lead and participate in developing process improvements for timely close of tax equity deals.
Job Requirements and Experiences
Bachelor’s or Master’s degree in Engineering (Electrical, Mechanical, Civil, or Renewable Energy) or a related technical field.
MBA or Finance‑related qualification is a plus.
Minimum of 8 years of experience in renewable energy technical due diligence, project management, or structured finance.
Prior involvement in project finance transactions and investor engagement.
Understanding of financial modeling and investment analysis is advantageous.
Strong analytical and problem‑solving skills with the ability to assess technical risks.
Excellent project management skills, with experience in managing multiple stakeholders.
Knowledge of industry standards (IEC, IEEE, ASME) and regulatory frameworks.
Familiarity with key contracts such as EPC, O&M, PPA, and financing agreements.
Ability to work in a fast‑paced, deadline‑driven growth organization.
Strong communication and negotiation skills.
Proficiency in project management tools and financial modeling.

Pay Range The annual base salary range for this position in Illinois is $112,000 – $160,000. The listed salary range represents our good faith estimate for this position and represents the range for new hire salaries across all U.S. locations. RWE considers factors such as (but not limited to) scope and responsibilities of the position, candidate’s education & work experience, training & certifications, and key skills as well as market and business considerations at the time of the offer.
