Senior Counsel, Corporate & Securities Albertsons Market

Position Summary We are seeking an experienced Senior Counsel to join our legal team. In this role, you will work closely with the General Counsel, legal department members, and corporate functions to ensure compliance with corporate and securities laws. This is a high‑impact position supporting governance, disclosure, and strategic corporate initiatives.

This position is located at our Boise, Idaho or Pleasanton, CA campus.

Main Responsibilities

Ensure compliance with federal securities laws, NYSE rules, Sarbanes‑Oxley, and other corporate governance regulations.

Prepare and file SEC reports and disclosures, including registration statements, 10‑Ks, 10‑Qs, 8‑Ks, proxy statements, and Section 16 filings.

Develop and maintain programs and policies for securities compliance, insider trading, and Regulation FD.

Monitor regulatory and governance developments and provide guidance.

Support equity matters, including equity plan administration and compensation issues.

Maintain corporate books and records; oversee entity management and restructuring.

Strengthen disclosure controls and internal control over financial reporting.

Assist with corporate development activities, including mergers and acquisitions.

Manage outside counsel and oversee the legal licensing team.

Qualifications

J.D. from an accredited U.S. law school; licensed to practice in at least one U.S. jurisdiction.

7+ years of legal experience in corporate and securities law (law firm and/or in‑house).

In‑house experience preferred; public company experience required.

Strong knowledge of SEC and NYSE compliance, corporate governance, and securities regulations.

Exceptional attention to detail, strategic thinking, and ability to manage projects in a multi‑stakeholder environment.

Excellent interpersonal and communication skills; ability to work effectively with senior management and the Board.

High level of discretion and confidentiality.

Experience in benefits administration is a plus.

Salary The salary range is $159,200 to $247,860 annually. Starting salary will vary based on criteria such as location, experience, and qualifications. There may be flexibility for exceptional candidates.
