Responsibilities
Provide legal support and leadership for corporate transactions, including mergers, acquisitions, divestitures; strategic transactions, including joint ventures and private equity investments; financial transactions, including credit facilities and debt offerings; and corporate governance and public company matters.
Assist with development, maintenance and administration of standard forms, policies and procedures relating to corporate, strategic and finance transactional matters.
Coordinate legal due diligence and disclosures relating to corporate, strategic, and finance transactions.
Work collaboratively and creatively with cross‑functional corporate teams and business units to provide broad legal support in identifying and mitigating risk issues relating to corporate, strategic and finance transactions.
Review, analyze and stay current on domestic and international legal developments relevant to areas of responsibility.
Qualifications
Juris Doctor from an ABA‑accredited law school and a bachelor’s degree from an accredited college or university.
5–7 years of experience handling transactional matters as a lawyer in a law firm and/or in the legal department of a public or private company.
Preferred Additional Skills
Experience in M&A, finance, and/or venture capital investments at a top law firm or a Fortune 500 in‑house legal department.
Problem‑solving orientation toward practical solutions and guidance.
Strong oral and written communication, presentation, training, organizational and teamwork skills.
Self‑motivated, detail‑oriented, adaptable, innovative and able to deliver high‑quality and timely work.
Ability to manage a large and varied portfolio of projects independently, often in an ambiguous environment while exercising sound business judgment.
Strategic, proactive approach to supporting organizational priorities by identifying, pursuing and closing business issues.
Reliable partner to internal clients with solution orientation and comfort interfacing with executive management.
