General Counsel and Corporate Secretary

Position Overview: The General Counsel and Corporate Secretary will join the executive leadership team, reporting directly to the CEO. This role will oversee corporate governance, commercial contracts, compliance, regulatory affairs, intellectual property, litigation management, and legal policy alignment across departments. The role also includes acting as Chief Compliance Officer and managing external counsel.

Key Responsibilities

  • Advise executive leadership on legal, governance, and regulatory matters
  • Serve as Corporate Secretary and support board activities
  • Develop and enforce company-wide compliance and ethics policies
  • Oversee international trade control and FCPA compliance programs
  • Draft and negotiate commercial contracts including NDAs, vendor agreements, distributor and sales rep contracts
  • Collaborate on IP strategy, including trademarks and R&D agreements
  • Provide legal support for IT and data privacy initiatives
  • Manage litigation and claims with external counsel
  • Liaise with legal teams of parent entity to align corporate policies
  • Lead legal due diligence and contract support for M&A activity

Qualifications

  • JD degree with active bar membership
  • 10+ years of relevant legal experience, including in-house counsel experience
  • Strong understanding of corporate governance, compliance, regulatory and commercial contract law
  • Demonstrated experience working cross-functionally with executive teams
  • Experience with litigation management and intellectual property matters
  • Excellent judgment, integrity, and ability to balance legal risk with business needs
