We are looking to hire an

Associate General Counsel

to join our Legal team reporting to the General Counsel. This individual will provide legal advice and counsel on a variety of banking and general corporate matters involving commercial lending, operations, vendor contracts, client agreements, loan and other product documentation, general corporate activities and business development. The role will also heavily focus on providing advice concerning relevant federal and state banking laws and regulations, and providing advice on, and managing outside counsel for, litigation.

Main Duties and Responsibilities

Provides legal advice and counsel on bank regulatory matters. Provides legal advice regarding the Bank’s standard forms, vendor contracts, client agreements, loan and other product documentation, and documentation pertaining to treasury and securities transactions

Liaises with internal departments and affiliates in the development or modification of transactions related to commercial banking, corporate banking, non‑U.S. business and other areas as needed.

Provides legal advice concerning actual or potential litigation and manages outside counsel in litigation matters.

Keeps abreast of emerging legislation affecting banking business and operations, interprets applicability to existing policies and procedures and communicates accordingly.

Represents Bank in connection with subpoenas and other legal process.

Performs other duties, as assigned, which fall within scope of responsibility.

Qualifications Needed Knowledge:

Knowledge of U.S. and New York State banking laws and regulations.

Experience in financial institution investigations and litigation.

Technical Skills:

System & Technology Use: Displays working knowledge of word processing, spreadsheet and presentation software; Able to use job‑specific software.

Must have effective interpersonal and customer relation skills.

Excellent written and oral communication skills.

Skill in organizing resources and establishing priorities.

Skill in examining and re‑engineering operations and procedures, formulating policy, and developing and implementing new strategies and procedures.

Must be flexible and adaptable to any situation.

Must have the ability to provide top‑quality, proactive, efficient and effective legal support in a fast‑moving environment. The ability to multi‑task and work under deadlines is imperative

Experience Required/Preferred: Minimum 5 years’ previous experience in banking or a law firm.

Education Required/Preferred: Law degree and appropriate bar admissions.

This role will be eligible for salary + discretionary bonus.
