Corporate Capital Markets Associate – Miami
About The Practice The Capital Markets team is recognized for its strength in
IPOs, debt offerings (high-yield and investment grade), Rule 144A/Reg S transactions, SPACs, REITs, PIPEs, and ATM programs . Associates gain hands-on experience advising
public and private issuers, financial institutions, and investment funds , supported by a collaborative global platform.
Key Responsibilities
Advise on U.S. and cross-border capital markets transactions
Lead and manage due diligence teams across complex deals
Draft and negotiate securities offering documents and related agreements
Provide guidance on corporate governance and reporting obligations
Collaborate across practice groups and mentor junior associates
Who You Are
2–6 years of experience in Capital Markets transactions at a leading firm
Strong knowledge of securities law and corporate governance
Skilled in drafting, negotiation, and deal management
J.D. from an accredited U.S. law school; admitted (or eligible) in Florida
Highly motivated with excellent interpersonal and communication skills
Compensation & Benefits Salary:
$225,000 – $365,000
(DOE)
⚖️ Comprehensive benefits package, including health, vision, dental, retirement, parental leave, and discretionary bonus
