As a
Senior Contracts Counsel , your responsibilities will be:
Corporate Legal Advisory:
Interpret laws, regulations, and rulings; ensure corporate actions comply with applicable laws; represent the company before regulatory agencies and in legal proceedings.
Contract and Policy Management:
Draft, review, and negotiate contracts, corporate documents, and internal policies; provide legal guidance to all business units.
External Counsel and Litigation Oversight:
Manage relationships with outside counsel, including selection, contracting, and invoice review; lead litigation and other legal processes.
Strategic Support and Governance:
Advise on business transactions, mergers and acquisitions, internal investigations, risk management, and matters involving shareholders, directors, and officers.
Education and Experience required:
Bachelor’s degree in accounting, Finance, Management, Economics, Computer Science, or Engineering.
Juris Doctor (JD)
completed.
Experience:
5–10 years working with state and federal labor laws, contracts, corporate policies, and corporate governance (required for Senior-level positions).
Expertise in:
Acquisitions and global joint ventures. Contract management and technical acumen. Strong knowledge of corporate governance and Board of Directors (BOD) matters. Regional and international laws and regulations.
Knowledge and skills required:
Strong analytical and consulting capabilities.
Expertise in legal matters, including corporate governance and regulatory compliance.
Proficiency in contract management and review, including Licensing agreements, Software-as-a-Service (SaaS) contracts, and Intellectual property matters.
Solid business acumen with ability to align legal strategies to organizational goals.
Excellent business writing and documentation skills.
Effective communication and negotiation abilities.
Strong planning, organizational, and time management skills.
