Requirements

4 to 6 years of experience in complex M&A and corporate transactions.

Substantive experience managing private equity transactions and private company M&A.

Proven ability to handle equity and asset purchase agreements, due diligence, and transaction execution.

Familiarity with client management, third-party advisor coordination, and cross-functional teamwork.

Excellent written and verbal communication, analytical, and project management skills.

Georgia Bar admission required or ability to become admitted.

About The Role A leading AmLaw 100 firm is seeking a mid-level associate to join its nationally recognized M&A and Corporate Finance group in Atlanta. The team handles high-value transactions across a range of industries, with a focus on private equity and private target M&A. This is an opportunity to work directly with clients, investment bankers, and advisors on sophisticated deals with national and international scope.

Key Responsibilities

Lead and support M&A transactions from inception through closing.

Draft and negotiate equity and asset purchase agreements and ancillary documents.

Conduct legal due diligence and summarize findings for clients.

Manage deal timelines, coordinate with internal teams, and communicate with stakeholders.

Provide actionable, strategic advice to clients based on business and legal considerations.

Participate in business development and client relationship management.
