About the Company A leading technology platform serving the life and annuities sector is seeking a Technology, Licensing & IP Counsel to join its in-house legal team. The organization provides advanced enterprise solutions, API-driven technology, and data-centric services to major insurance carriers, distributors, and ecosystem partners across North America. Known for its innovative culture and focus on transforming insurance through technology, the company combines deep industry expertise with secure, modern digital infrastructure to help clients accelerate product development, operational efficiency, and customer experience.
Their office is based in Greenwich, Connecticut, however there is an option to be fully remote, so the candidate can be based in Greenwich, or New York.
About the Role Responsibilities
Draft, review, and negotiate technology licensing agreements, SaaS contracts, cloud services agreements, data‑sharing and data‑use agreements, API and platform integration contracts, and other IP‑intensive commercial arrangements.
Advise on intellectual property matters, including ownership, licensing, open‑source compliance, patent and copyright considerations, trade secrets, and IP risk management in product development.
Provide strategic guidance on data protection and privacy, including compliance with U.S. and international frameworks (e.g., GDPR, CCPA/CPRA, GLBA), cross‑border data transfers, and contractual data obligations.
Partner with product, engineering, and security teams to align contract terms with technical architecture, data flows, and IP protections.
Develop and maintain contract templates, playbooks, and negotiation guidelines focused on technology licensing, data rights, and IP protections.
Support product launches and strategic initiatives by advising on licensing models, third‑party technology agreements, open‑source software, and privacy considerations.
Collaborate with sales, commercial, finance, and operational teams to deliver practical, business‑oriented solutions on licensing, privacy, and IP matters.
Provide strategic counsel to senior stakeholders on technology risk, privacy strategy, IP considerations, and commercial structuring.
Contribute to legal operations and process improvements, including contract lifecycle management, automation, and scalable legal workflows.
Qualifications
Juris Doctor (JD) and admission to a U.S. state bar in good standing.
7–14 years of post‑qualification experience in private practice and in‑house, with significant experience in technology licensing, intellectual property, and data/privacy law.
Proven track record drafting and negotiating SaaS, cloud, platform, and data‑use agreements, as well as complex IP licensing arrangements.
Strong understanding of IP ownership, licensing structures, open‑source compliance, and patent/copyright matters.
Expertise in U.S. and international data protection laws (e.g., GDPR, CCPA/CPRA, GLBA) and advising on privacy obligations in technology contracts.
Excellent drafting, communication, and stakeholder‑management skills with a pragmatic, business‑focused mindset.
Ability to work independently in a fast‑paced environment while managing multiple priorities and deadlines.
Highly organized, detail‑oriented, and adaptable to evolving legal and business needs.
Familiarity with the insurance or financial services technology ecosystem is an advantage but not required.
