Corporate Paralegal – San Francisco Office
Our client is a 1000 attorney international law firm in Am Law 50. They are a forward‑thinking progressive firm that goes above and beyond for clients and employees.
Position Overview: This role offers diverse work from many sources—not just startups— in a lean environment where you’ll lead due diligence, closing processes, and fact investigation while collaborating with outside vendors to ensure smooth, accurate transactions.
Responsibilities
Manage due diligence activities, including UCC, litigation, and IP searches, and analyze results.
Handle corporate governance and entity management, ensuring compliance with regulations like the Corporate Transparency Act.
Maintain and administer entity and stock records using platforms such as Carta and Fidelity.
Support securities and Blue Sky filings, equity transactions, and related documentation.
Coordinate and oversee closing processes from document preparation to post‑closing administration.
Qualifications
Bachelor's degree preferred and ABA‑approved paralegal certificate required.
7+ years of transactional paralegal experience in a law firm or corporate legal department.
Proficiency with UCC filing platforms and e‑filing systems.
Advanced knowledge of Microsoft Office, Adobe Acrobat, and virtual meeting tools like Zoom and Teams.
Salary Up to $170K, depending on experience.
