About the Role

The Commercial/Transactions Counsel will support our business in navigating complex regulatory, contractual, and corporate matters. The role includes advising on contract negotiation, regulatory compliance, project acquisitions, and corporate governance, working with internal teams and external stakeholders to align legal strategy with our renewable energy initiatives. Draft, review, and negotiate a variety of commercial contracts, including supplier agreements in the renewables space, EPC contracts, solar equipment supply agreements (PV, BESS, power electronics), power purchase agreements, and permitting or interconnection documentation, as well as other vendor/service agreements and strategic partnerships. Provide legal support for renewable energy project acquisitions. Collaborate with finance, business development, and operations teams to assess and manage legal risk. Support business development teams with customer agreements and work with the M&A team on agreements to acquire projects or other strategic transactions. Monitor evolving energy regulations and assist in developing compliant policies and procedures. Help create scalable legal processes, playbooks, templates, and risk review frameworks. Coordinate with outside counsel. Minimum Qualifications

J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction (preferably California) 5+ years of legal experience, with at least 2 years in-house counsel experience in renewable energy, energy infrastructure, or clean tech sectors Experience drafting and negotiating supplier agreements in the renewables space, including EPC contracts, solar equipment supply agreements (PV, BESS, power electronics), power purchase agreements, and permitting or interconnection documentation Ability to advise on the interpretation of such documents orally and in writing Excellent drafting, communication, negotiation, and interpersonal skills Comfortable working in a fast-paced, entrepreneurial environment with cross-functional teams Ability to independently manage multiple projects and priorities Comfortable being part of a cohesive team while working independently Preferred Qualifications
