Project Finance Junior Associate Attorney
Direct Counsel is seeking a
Project Finance Junior Associate
to join a highly regarded law firm with offices in multiple locations. This role is ideal for a junior associate with
2-3 years of experience
in project finance, including work on project financings, tax equity bridge loans, backleverage financings, or pre-NTP financings. Key Responsibilities:
Handle both
Lender- and Borrower-side
transactions. Draft and negotiate
credit facilities, depositary account agreements, letters of credit, and performance and payment bonds . Work with
balance of plant agreements, supply agreements
(e.g., transformer supply, module supply, BESS supply, turbine supply, inverter supply), and
offtake and tolling agreements . Draft and close
security documents , including security agreements, pledge agreements, financing statements, and control agreements. Prepare
NY-law legal opinions, direct
agreements/consents
to collateral assignments, and reliance letters . Conduct
due diligence reviews
and provide bankability analysis on project documents. Qualifications:
2-3 years of project finance experience
in a large regional, national, or international law firm. Familiarity with
LSTA Credit Agreements, New York law-governed Security Documents, and Project Documents
(EPC contracts, Offtake Agreements, Supply Agreements, and Reliance Letters). Strong academic credentials. Entrepreneurial mindset and ability to work both
independently and collaboratively
in a fast-paced environment. Must reside in and be licensed (or eligible to become licensed) in
New York, Miami, Dallas, Houston, Austin, or Washington, D.C. Compensation:
Salary range:
$235,000 – $260,000
