Mid-Level Private Equity Associate Attorney (Austin)
Direct Counsel
is seeking a
Mid-Level Private Equity Associate
to join a prestigious law firm in
Austin, Texas . This role presents an exciting opportunity for a talented attorney to work on high-profile private equity transactions, advising top-tier investment firms and their portfolio companies. About the Role:
The ideal candidate will have
at least three years of experience
representing private equity sponsors and their portfolio companies in a variety of complex corporate transactions. This position offers exposure to sophisticated deals, including mergers and acquisitions, leveraged buyouts, and equity investments. Key Responsibilities:
Transaction Structuring & Execution
– Advise private equity firms and portfolio companies on the legal and strategic aspects of M&A transactions, leveraged buyouts, and other investments. Contract Drafting & Negotiation
– Draft and negotiate key transaction documents, including purchase agreements, shareholder agreements, and other corporate governance materials. Due Diligence
– Lead legal due diligence efforts, assessing risks and ensuring compliance with applicable laws and regulations. Regulatory & Compliance Guidance
– Provide counsel on SEC and other regulatory matters related to private equity transactions. Client Collaboration
– Work directly with private equity sponsors and corporate clients to develop tailored legal strategies that align with business objectives. Cross-Team Coordination
– Collaborate with internal teams, including tax, finance, and regulatory, to support all aspects of deal execution. Qualifications & Requirements:
J.D. from an accredited law school
with strong academic credentials. Admission to the Texas Bar
(or ability to waive in). Minimum 3 years of experience
at an AmLaw 100 firm or relevant SEC/private equity-focused experience. Strong understanding of private equity transactions, including
M&A, fund structuring, and corporate governance . Exceptional analytical and problem-solving skills
with the ability to assess risk and provide strategic advice. Excellent drafting, negotiation, and communication skills
with a focus on delivering high-quality work in a fast-paced environment. Ability to
manage multiple transactions simultaneously
and work effectively both independently and within a team. Work Environment & Benefits:
Hybrid work model
– Regular in-office presence with some remote flexibility. Highly competitive salary
– Expected hiring range:
