Mid-Level Investment Funds Associate Attorney
Direct Counsel is seeking a
Mid-Level Investment Funds Associate
to join a
prestigious Am Law 100 firm . This position is open to multiple office locations, including
Chicago, Austin, Boston, New York, Philadelphia, San Francisco, and Washington, D.C. Position Summary
The firm is seeking a mid-level associate to join its
Investment Funds
group. The ideal candidate will have substantial experience with investments in, or the formation of,
domestic and international private equity, real estate, venture capital, and hedge funds . Candidates with experience in
secondary transactions, structuring separately managed accounts, and structuring carry vehicles
are preferred. Qualifications
Education:
J.D. from an accredited law school.
Bar Admission:
Must be admitted to practice in the jurisdiction in which you are applying.
Experience:
5+ years of relevant investment funds experience within a
top-tier law firm .
Technical Skills:
Strong knowledge of securities law and fund formation structures.
Key Responsibilities
Advising clients on
fund formation, private equity investments, and regulatory compliance .
Drafting and negotiating key fund documents, including
limited partnership agreements, subscription agreements, and private placement memoranda .
Assisting in structuring
separately managed accounts and secondary transactions .
Advising fund sponsors and institutional investors on investment strategies and legal risks.
Ensuring compliance with
U.S. and international securities laws .

Compensation & Benefits
Salary Range:
$310,000 - $390,000 per year, commensurate with experience.
