Our client, a well-established investment advisory firm, is seeking an attorney to serve as In‑House Counsel. This transactional attorney will support their growing Venture Capital and Investment Funds business while also contributing to compliance initiatives.
What You’ll Do
Partner with the Venture Capital team to review opportunities, identify risks, and provide strategic legal guidance.
Draft, review, and negotiate venture capital investment documents across all stages of the VC lifecycle.
Advise portfolio companies on corporate governance, equity compensation, commercial contracts, and strategic transactions.
Support fund formation, including LP agreements and internal governance matters.
Participate in the firm’s Compliance Program, including testing and issue spotting.
Ideal Candidate Profile
J.D. from a strong law school with admission to at least one U.S. bar.
3–5 years of experience, including significant venture capital deal work.
Top‑tier law firm background strongly preferred.
Deep understanding of startup financing structures, cap tables, and exit strategies.
Exceptional drafting, negotiation, and communication skills.
Collaborative, business‑minded, and able to manage multiple priorities in a fast‑moving environment.
Attorney must be based in the Dallas area and be available to work in the office at least three days a week.
