Ferreri Miller PLLC is an innovative boutique corporate law firm serving entrepreneurs and small- to mid-sized businesses in high-value transactional matters, including M&A, fundraising, commercial contracts, and entity structuring. We operate on a project-based fee model—not billable hours. We’re hiring a Senior Transaction Counsel to lead execution on client matters, supervise a junior associate, and help drive quality and efficiency across the firm. This is a high-responsibility, low-politics role for an experienced corporate attorney who wants to focus on excellent legal work—not chasing origination credit or tediously tracking time. We’re looking for a great lawyer who wants to focus on practicing law. What We Offer • Competitive compensation and benefits • Meaningful autonomy and client responsibility • Lean, modern, high-efficiency firm model • Opportunity to help build something better What You’ll Do • Run deal execution from start to finish, with strategic input and feedback from managing partner • Draft and negotiate asset and stock purchase agreements, convertible notes, commercial contracts, and other core documents • Communicate directly with clients, opposing counsel, and other stakeholders • Supervise and mentor a junior associate • Collaborate with the managing partner to improve workflows and standardize firm processes What We’re Looking For • 4–7+ years of experience as a transactional/corporate attorney (law firm or in-house) • In-person presence in Louisville preferred, with flexibility for the right candidate • Proven ability to manage sophisticated matters with judgment and independence • Strong drafting, issue-spotting, and analytical skills • Confidence and clarity in client-facing communication • Experience supervising or mentoring junior attorneys • Interest in building efficient workflows and leveraging modern tools (including AI-assisted drafting) • Desire to practice law at a high level without pressure to generate business To apply, please send your résumé and a short note about your interest in the role to mbooth@ferrerimiller.com.
