Job Description We are seeking a Securities Attorney for our Corporate, Securities, and M&A practice group.

Responsibilities

Provide legal counsel on securities law matters, including private securities offerings, fund work, and joint ventures.

Draft, review, and negotiate securities-related documents such as offering memoranda, subscription agreements, and compliance policies.

Advise clients on regulatory compliance, corporate governance, and securities transactions.

Conduct due diligence and manage transactional processes for securities offerings and capital markets transactions.

Collaborate with other attorneys and legal professionals within the firm to deliver comprehensive legal solutions to clients.

Stay updated on relevant securities laws, regulations, and industry trends to provide proactive legal advice.

Qualifications

Juris Doctor (JD) degree from an accredited law school.

Admission to the Florida Bar.

Minimum of 8 years of experience in securities law, with a focus on private securities offerings and capital markets.

Strong analytical, negotiation, and communication skills.

Ability to work collaboratively in a team-oriented environment.

High level of professionalism and ethical standards.

Experience with cross-border securities transactions and international securities law.
