Mergers and Acquisitions Associate
Love Freedom Solution is seeking a mid‑level associate corporate attorney with substantial M&A experience for any of our offices in the Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, New York, or Boston.
Base Pay Range $250,000.00/yr – $300,000.00/yr
Responsibilities
Lead and support domestic and cross‑border M&A transactions, including asset and stock purchases, mergers, joint ventures, and strategic investments.
Draft, review, and negotiate transactional documents such as purchase agreements, disclosure schedules, closing documents, and ancillary agreements.
Manage and coordinate due diligence processes, prepare and analyze diligence materials, and summarize key issues for clients.
Advise clients on deal structure, risk allocation, regulatory considerations, and corporate governance implications.
Work closely with tax, IP, employment, and regulatory specialists to address transaction‑related issues and coordinate cross‑functional teams.
Help manage transaction timelines and closing logistics, including preparing checklists and coordinating with external counsel and advisers.
Supervise and mentor junior associates and paralegals, delegating tasks and providing constructive feedback on work product.
Contribute to client relationship management and business development activities, including drafting pitch materials and attending client meetings.
Qualifications – Required
3–5 years of M&A experience at a leading corporate law firm.
Admission to the bar in the jurisdiction where you intend to work, or eligibility to waive into the bar within 3–6 months (sitting for the bar exam is not supported).
Superior academic credentials.
Excellent oral, written, and interpersonal skills.
Qualifications – Preferred
Experience with, or an affinity for, technology and/or life sciences companies.
Experience working on matters for emerging growth or high‑growth clients.
