Job Description
Overview The Corporate Counsel is an individual contributor lawyer who provides legal advice to business units and cross-functional terms. Proactively and effectively manages a diverse range of legal matters in a range of substantive areas. Responsibility Draft, review, and negotiate a wide range of contracts and commercial agreements, including procurement, supply, professional engagement, marketing, IT, laboratory, and data use agreements. Review commercial arrangements and customer-facing materials for compliance with company policies, laws, and regulations, including data privacy. Advise and partner with business teams on commercial matters as they arise in assigned business units, working closely with external counsel when necessary. Collaborate with business units to identify and mitigate legal risks associated with day-to-day operations. Regularly review and update contract library with templates and provisions and contribute to the ongoing development of the Legal Department “playbook” for contract negotiations. Participate in cross-functional teams and projects to provide legal insights and support. Collaborate with, and assist, members of the Legal team and other internal stakeholders on a broad range of topics and projects. Advise internal stakeholders on contract interpretation, terms, negotiating positions, and risk management. Qualifications Juris Doctor degree and bar admission in good standing required. 5+ years of experience in a law firm or in-house legal position. Strong background in commercial law, contract law, and healthcare regulations with healthcare, life science, medical device, or similar industry experience preferred. The ability to analyze complex legal issues, identify potential solutions, and provide practical guidance to the business. Transactional background with a demonstrated ability to draft and review commercial agreements, including complex arrangements, quickly and efficiently with little or no supervision. Strong business sense coupled with the ability to evaluate risk, consider business and practical considerations, and provide clear pragmatic legal advice. Experience in data privacy regulations including HIPAA. Strong organizational and time management skills, and resourceful self-starter with excellent problem-solving capabilities, judgment, communication (written and verbal) and interpersonal skills. High levels of initiative, confidence and ability to appropriately influence others. Understanding and adherence to legal ethics and ability to maintain confidentiality. Physical Requirements Lifting Requirements – light work or exerting up to 20 pounds of force frequently. Physical Requirements – stationary positioning, moving, operating, ascending/descending, communicating, observing, pushing or pulling, and reaching. Use of equipment and tools necessary to perform essential job functions.
