Job Description Attorney with Finance and Banking experience for midsize law firm. This role supports a dynamic structured practice that advises a diverse array of clients. In the roll you will work on a variety of commercial transactions including real estate lending, corporate finance and asset-based lending transactions; private equity financings; joint venture and syndicated financings; mergers and acquisitions; asset dispositions; subordinated and senior debt transactions (including second lien lending); convertible debt financings; tax credit financings; bond and public finance transactions; securities issuances and other capital raises, recapitalizations; restructurings; buyouts; takeouts and equity syndications. Collaborate with partners and senior associates to draft and negotiate financing documents (e.g., loan agreements, security agreements, subscription credit facilities) Conduct due diligence, coordinate with internal and external teams to collect and review documentation Work closely with clients to understand business objectives and tailor financing solutions accordingly Support closing processes by preparing closing checklists, loan draw requests, and ancillary documents Monitor post-closing obligations, including covenant compliance analyses and reporting requirements Stay abreast of market trends in securitization, structured finance, and related areas to inform deal strategy Requirements 2–7 years of transactional experience, ideally in a finance-oriented practice Demonstrated ability to learn complex topics quickly and adapt to evolving deal structures Strong organizational skills with attention to detail in document review and preparation Effective communicator capable of liaising with clients, internal teams, and other outside counsel Proven ability to multitask in a fast-paced environment and meet tight deadlines Commitment to collaborative, team-oriented work and a client-focused approach Admission to the Massachusetts Bar (or eligibility to gain admission promptly) Skills Intellectual curiosity and eagerness to develop expertise Solid understanding of basic finance principles and deal economics Proficiency with document-management tools and Microsoft Office suite (Word, Excel, PowerPoint) An analytical mindset with strong research and writing abilities Excellent problem-solving capabilities and strategic thinking
