Senior Manager, Senior Counsel - Capital One Software Product Counsel (Hybrid) Capital One Software provides enterprise B2B software and data management solutions to help other businesses accelerate their cloud journeys, manage cloud costs, and secure sensitive data. These products are based on tools Capital One developed internally to support its own large‑scale cloud and data management operations, making the bank's technology innovations available to the wider market. The Capital One Software Legal team needs help to support this high growth business.

Responsibilities

Translating:

You understand the law, the commercial software industry, and technology (open source software, development, APIs, cloud, etc.). You are fluent in and can fluidly transition between legalese, English, and developer speak. You can take complex legal topics and explain them succinctly and cohesively to developers and senior executives.

Thirst for Knowledge:

You proactively learn about emerging topics such as Bayesian networks, multi‑cloud, dynamic linking, and are not frustrated by what you don’t know. You are intrigued.

Strategic Advice:

You advise the business on strategic initiatives using not only legal skills but broader insight, helping to navigate innovative and novel areas.

Partnering to Foster Innovation:

Collaborate closely with colleagues across the Legal Department to vet and scale risk, pushing responsible innovation in challenging grey areas and nurturing new products through highly regulated environments.

An Ownership Mentality:

Serve as the legal point person for one or more commercial software products, owning issues such as drafting product terms, export control analysis, and sanctions screening requirements, with support from Capital One Legal colleagues.

Transaction Management:

Oversee deals related to your product from start to execution, acting as transactional escalation point for all major deals and prioritizing competing deals to support go‑to‑market and sales strategies.

Basic Qualifications

Juris Doctor from an accredited law school.

Active member in good standing of at least one state bar.

At least 4 years of experience as an attorney in a law firm, government agency, military judge advocate, or in‑house counsel.

Preferred Qualifications

2+ years of experience advising technology companies or banks.

Familiarity with Open Source community interpretation of Open Source licenses.

Knowledgeable about copyright law as applied to software.

Experience drafting commercial software license agreements or product terms.

Understanding of cloud technology and a wide variety of other technology areas.

Ability to identify effective methods of protecting intellectual property from software, hardware, and internet‑related products and services.

Effective oral and written communication skills, communicating business and intellectual property issues with and between developers, engineers, and business leaders.

Ability to assist in‑house and outside litigation counsel in patent litigation issues.

Strong analytical and computer skills.

Additional Information At this time, Capital One will not sponsor a new applicant for employment authorization for this position. This role is hybrid: associates spend 3 days per week in‑person at one of our offices listed in the posting.

Salary

(annual, full‑time, by location)

Chicago, IL: $175,500 – $200,300

McLean, VA: $193,000 – $220,300

Plano, TX: $175,500 – $200,300

Richmond, VA: $175,500 – $200,300

Riverwoods, IL: $175,500 – $200,300

This role is also eligible to earn performance‑based incentive compensation, which may include cash bonuses and/or long‑term incentives (LTI). Incentives may be discretionary or non‑discretionary depending on the plan.
