Corporate Counsel RH Aero Systems is setting the standard for aviation support equipment and services. This position reports directly to the CFO & EVP Corporate Administration and is responsible for building and leading our in‑house legal function. The role safeguards the company’s legal interests, ensures compliance with regulatory obligations, and provides trusted counsel on strategic decisions that shape the future of our business.

It requires strong legal expertise, the ability to partner with business leaders, anticipate risks, and deliver pragmatic solutions in the areas of corporate governance, compliance, contract negotiations, joint ventures, M&A, intellectual property and litigation. Candidates should also bring a forward‑looking mindset, leveraging technology and automation to streamline legal processes and enhance efficiency.

Key Responsibilities

Lead all corporate legal and administration filings and document retention across the business, including contracts for sales and procurement.

Draft, review and negotiate a wide range of corporate contracts, agreements and legal documents; manage corporate charter items across the corporation and legal entities.

Advise leadership on corporate governance, regulatory compliance and risk management; develop, review and maintain company policies to ensure legal and regulatory compliance.

Prepare and file regulatory reports and disclosures as required and monitor legal and regulatory changes, communicating implications across the organization.

Lead legal aspects of strategic supplier agreements, joint ventures, mergers and acquisitions, including due diligence and negotiations.

Oversee legal aspects of financing arrangements, transactions and corporate structuring; develop and implement legal strategies to protect company interests and mitigate risks.

Provide counsel on potential liabilities, legal risks and business implications of commercial decisions.

Represent the company in legal matters, including litigation, arbitration and settlement discussions.

Manage intellectual property portfolio – trademarks, patents and licensing agreements.

Collaborate with cross‑functional teams to integrate legal insights into business strategies and deliver training on compliance, confidentiality and corporate policies.

Liaise with external counsel for complex or cross‑border legal issues, especially in Germany and other jurisdictions.

Additional responsibilities include global compliance, export control, document management system and related tasks.

Qualifications

Juris Doctor (JD) degree; Master of Laws (LL.M.) preferred.

Certification or specialization in corporate or business law strongly preferred.

8+ years of experience in corporate law, with a mix of law firm and in‑house counsel experience.

Expertise in business law, financial regulations, corporate governance and compliance.

Proven experience with M&A, joint ventures and international transactions.

Strong knowledge of intellectual property, licensing and technology agreements.

Familiarity with international business law, particularly Germany and the EU.
