Assistant General Counsel
The Port Authority of New York & New Jersey Law Department seeks an experienced Senior Commercial Attorney to serve as Assistant General Counsel for Real Estate and Contracts.
Background
The role will involve structuring, drafting, negotiating, and providing risk analysis and advice for a broad range of high‑value commercial and real‑estate transactions, transportation‑related deals, technology agreements, procurement processes, and all other contractual matters arising in the Port Authority’s operations.
Key Responsibilities
- Real estate transactions: lease agreements for Port Authority‑owned and operated assets; tenant management and enforcement; inter‑agency agreements; government approvals, licenses, permits, easements.
- Procurement and contracts: goods and services contracts, maintenance & support agreements, construction contracts, financial contracts, technology agreements, indemnity and intellectual property matters, data sharing, revenue & payment agreements, public‑private partnership agreements, confidentiality agreements.
Qualifications
- Member of the Bar in good standing in New York or New Jersey (or relevant jurisdiction).
- 15+ years of legal experience with an emphasis on general commercial transactions, real estate, construction or procurement; law‑firm training preferred.
- 5+ years of supervisory experience with attorneys.

- Proven ability to direct and supervise a team of transaction attorneys, reviewing and approving complex legal documents.
- Detail‑oriented with strong analytical, drafting and communication skills.
- Effective under pressure, reconciling competing priorities toward resolution.
- Sound judgment and ability to recognize intersections of public, business and political elements.
- Strategic thinker who can act decisively while balancing risk.
- Ownership of large, complex contracts with aggressive deadlines.
- Adaptability to a constantly evolving legal environment, maintaining the highest ethical standards.
- Proficient in Microsoft Office Suite, Adobe Acrobat and document/matter‑management systems.
Compensation & Benefits
Minimum: $175,000; Midpoint: $225,000; Maximum: $265,000. The position permits remote work up to one day per week; in‑person collaboration is required on a regular basis.
