Job Overview
A law firm seeks a highly skilled corporate mergers and acquisitions attorney to join its growing transactional team in Raleigh, NC. This attorney will advise business owners, executives, private equity sponsors, and strategic buyers and sellers across diverse industries. The role requires experience in structuring and managing complex transactions and the ability to collaborate across internal legal disciplines to deliver comprehensive service.
Duties
Lead and execute end-to-end M&A transactions, including stock and asset purchases, joint ventures, reorganizations, ESOPs, divestitures, and private equity matters.
Draft and negotiate definitive agreements, purchase and sale documents, operating and shareholder agreements, management incentive equity arrangements, letters of intent, and related agreements.
Conduct and supervise due diligence, identify and evaluate risks, and implement strategic solutions across tax, employment, intellectual property, securities, real estate, and environmental areas.
Advise clients on deal structure, financing options, valuation considerations, rollover equity, restrictive covenants, and strategic negotiation points.
Develop long-term business relationships and support firm-wide initiatives to enhance the corporate practice.
Requirements
J.D. with admission to (or eligibility for admission to) the North Carolina Bar.
4 to 10+ years of corporate M&A experience, preferably representing both buyers and sellers.
Significant drafting and negotiation experience with complex transactional documents.
Strong professional judgment, communication skills, and commercial acumen.
Ability to collaborate and work efficiently within multi-disciplinary deal teams.
Education
Juris Doctor (J.D.) degree
Certifications
Admission to the North Carolina Bar (or eligibility for admission)
