Senior Fund Formation Attorney About the Opportunity A fast-growing, venture-backed financial services and technology company is seeking an experienced Fund Formation Attorney to join its legal team. The firm operates at the intersection of private markets, asset management, and technology, supporting investment vehicles and investment platforms serving sophisticated investors.

This role is designed for a senior attorney who enjoys being hands-on, working closely with investment, compliance, and product teams, and helping build scalable legal infrastructure for a growing private investment business.

Role Overview As a senior member of the legal function, you will play a critical role in supporting the company’s long-term growth. You will provide legal support across fund formation, regulatory compliance, investment-related matters, corporate governance, and internal legal operations.

The ideal candidate brings deep private funds experience, strong judgment, and the ability to operate effectively in a fast-paced, technology-enabled environment.

Key Responsibilities Fund Formation Lead and support the formation of private investment vehicles, including structuring, initial filings, and entity formation. Draft, review, and negotiate fund documentation such as limited partnership agreements, private placement memoranda, subscription agreements, and related materials.

Regulatory & Compliance Support Monitor and maintain compliance with applicable securities laws and regulations affecting private investment funds and registered investment advisers, including requirements under the Investment Advisers Act of 1940, the Investment Company Act of 1940, and the Securities Act of 1933. Assist with regulatory filings, disclosures, and ongoing compliance obligations.

Investment & Transaction Support Conduct legal due diligence on private fund investments and co-investments. Negotiate investment terms, side letters, and related agreements.

Investor Relations Legal Support Support investor onboarding and servicing, including review of subscription materials, client diligence verification, transfer requests, and responses to investor legal inquiries.

Legal Documentation & Governance Draft, review, and maintain core legal and compliance documentation, including Form ADV, client agreements, policies, and internal governance materials.

Cross-Functional Collaboration Partner closely with internal stakeholders across legal, compliance, investments, operations, product, and technology teams to support business initiatives and operational growth.

Product & Platform Development Work with senior legal leadership and technical teams to support the development of new legal or compliance-related product features and workflows.

Qualifications

6+ years of experience in fund formation, either in-house or at a law firm

Strong knowledge of private funds and the asset management industry, including deep familiarity with U.S. securities laws and regulations applicable to investment advisers and private funds (Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, etc.)

Experience with broker-dealer regulation, FINRA rules, or bank regulatory regimes is a plus

Highly hands-on and solutions-oriented approach; comfortable working with technology, data, and AI-enabled workflows

Strong organizational and project management skills with the ability to manage multiple priorities and deadlines

Excellent written and verbal communication skills with a high standard of professionalism

Compensation:

$190,000–$220,000 base salary plus equity; discretionary bonus eligibility
