Assistant General Counsel – Hybrid, Chicago
Join Rewards Network as the Assistant General Counsel, Commercial and Corporate Affairs. This hybrid role requires in‑office availability three days a week at our Chicago Headquarters and focuses on driving legal support for marketing, product, and partnership initiatives.
Job Overview The Assistant General Counsel works closely with senior leadership, shaping the company’s future by ensuring legal compliance and mitigating risk across all business units.
Responsibilities
Review and approve complex marketing copy to ensure legal compliance and risk mitigation.
Edit, negotiate, and finalize client agreements to protect company interests and foster strong commercial relationships.
Support and lead legal efforts on strategic partnership agreements, collaborating closely with cross‑functional teams.
Provide counsel to marketing, product, and data teams on go‑to‑market strategies and regulatory considerations.
Offer general product counseling throughout the product lifecycle.
Interface regularly with senior leadership and board members, delivering clear legal insights on business initiatives.
Assist the corporate secretary with governance matters and preparing board materials.
Identify and resolve legal risks in commercial activities, aligning with company goals.
Drive continuous improvement of contract templates, playbooks, and legal processes.
Champion a collaborative, business‑oriented approach to solving legal and commercial challenges.
Other duties as assigned.
Qualifications
Advanced legal analysis and judgment, especially in marketing, commercial agreements, and product compliance.
Contract drafting, negotiation, and management expertise across a broad range of commercial agreements.
Strategic counseling and cross‑functional collaboration experience with marketing, product, and data teams.
Stakeholder communication skills, including presenting complex legal concepts to senior leadership and board members.
Governance and corporate secretarial experience, including board material preparation.
Risk identification and mitigation proficiency in commercial activities.
Process improvement and legal operations experience, enhancing contract templates and playbooks.
Business acumen and a collaborative mindset balanced with legal requirements.
Technical proficiency: legal research databases, contract management systems, Microsoft Office, and collaboration tools.
JD from an accredited law school.
Licensed to practice law in Illinois or ability to gain admission within six months.
5‑7 years of practicing attorney experience.
Preferred leadership experience and at least two of the following practice areas: marketing/IP counseling, new product development, strategic partnership structuring, corporate transactions, general business counseling.
Preferred law firm and in‑house experience.
