Responsibilities
Lead and manage legal aspects of M&A transactions.
Draft and negotiate key agreements and transaction documents.
Conduct and oversee comprehensive legal due diligence.
Advise internal teams throughout all phases of M&A deals.
Collaborate with external counsel and advisors for efficient execution.
Develop best practices for M&A legal processes and documentation.
Monitor legal and regulatory developments impacting M&A and energy.
Support post-closing integration activities.
Ensure compliance with applicable external and internal regulations, procedures, and guidelines.
Qualifications
Juris Doctor (J.D.) degree from an accredited U.S. law school.
Active membership in good standing with at least one U.S. state bar.
Minimum of 5 years of experience practicing corporate law, with a significant focus on M&A transactions, either in-house or at a reputable law firm.
Strong understanding of corporate and securities law, and other regulations relevant to M&A.
Excellent analytical, communication, and negotiation skills.
Proven ability to manage multiple projects simultaneously and meet tight deadlines.
Experience in the energy transmission and distribution sector, in the software industry or in a related industrial field is a plus.
Candidate must already have work authorization that would permit them to work for Hitachi Energy in the United States.
