Senior Corporate Counsel, Commercial Location: Minneapolis, MN; San Francisco, CA; or Birmingham, AL. The role is hybrid; employees work from home with optional in‑office presence.

Impact As a Senior Corporate Counsel, Commercial, you will support and scale our commercial legal function. You will lead complex transactions, support procurement operations, manage contract lifecycle workflows, and advise on third‑party risk, data use, and vendor governance. This key role supports high‑growth operational teams—Growth, Procurement, Marketing, Technology, Finance, Product, and Operations. You’ll partner cross‑functionally to negotiate strategic deals, design scalable legal workflows, and serve as a trusted advisor on contracting best practices.

You will draft, review, and negotiate a broad range of commercial contracts (retail partner agreements, SaaS, technology, logistics, advertising agency agreements, and professional services). You’ll lead procurement and vendor contracting strategy, including onboarding, due diligence, and ongoing vendor management. You will own and enhance CLM operations (template governance, fallback positions, approval matrices, and clause libraries). You will lead legal review for third‑party partnerships and co‑branded offerings. You will advise stakeholders on key legal risks (contract terms, data privacy, security, indemnity, limitation of liability) and develop legal enablement tools, trainings, and scalable contract playbooks. You will partner with InfoSec, Compliance, and Privacy on third‑party risk frameworks and data‑sharing requirements. You will identify process improvements and drive automation opportunities in commercial legal workflows.

What You’ll Need to Be Successful

You have a J.D. from an accredited law school and are admitted to practice in at least one U.S. jurisdiction.

You have 8+ years of legal experience with a strong focus on commercial transactions and vendor contracting, preferably with some in‑house experience, including drafting, reviewing, and negotiating commercial contracts (SaaS, technology, logistics, advertising agency, and professional services).

You have a deep understanding of commercial negotiation, operational contracting, and business risk allocation, including advising stakeholders on key legal risks related to contract terms, data privacy, security, indemnity, limitation of liability, and regulatory issues impacting vendor relationships.

You have experience working cross‑functionally with non‑legal stakeholders in fast‑paced environments, including Procurement, Finance, IT, and Marketing.

You have strong written and verbal communication skills with attention to detail and a collaborative mindset, experience developing and delivering legal enablement tools, trainings, and scalable contract playbooks, and identifying process improvements and driving automation opportunities in commercial legal workflows.

You are familiar with CLM tools (e.g., Lexion, Ironclad, Docusign CLM) and contract automation frameworks.

Other compensation includes eligibility for an annual bonus and the potential for restricted stock units based on role.

Pay Range Metro Areas of Boston, District of Columbia, Los Angeles, San Francisco, Seattle and New York City: $172,000‑$344,000. All other locations: $152,000‑$305,000. Please note that the salary range above is a guideline, and individual total compensation will vary based on factors such as qualifications, skill level, competencies, and work location.
