Corporate Paralegal
Job Title: Corporate Paralegal Location: Tysons, VA Industry: Legal Services Pay: $95,000$120,000 annually (depending on experience) About Our Client: Addison Group is working on behalf of a well-established law firm with a collaborative, team-driven environment. The firm has a long-standing reputation in the DMV area and offers a supportive culture that values professionalism and excellence. This role will be based in their Tysons, VA office. Job Description: We are seeking an experienced Corporate Paralegal to join our client's Corporate Practice Group. The ideal candidate will be responsible for a wide range of corporate and transactional paralegal duties and will play an integral role in supporting attorneys, managing filings, coordinating closings, and maintaining corporate records. Key Responsibilities: Assist with forming corporations and LLCs and handling qualifications, dissolutions, and withdrawals. Draft corporate documents including meeting minutes, board consents, and shareholder/member resolutions. Prepare and file a variety of state and federal documents including Articles of Incorporation, Certificates of Formation, UCC filings, and IRS forms (e.g., SS-4s, 8832s, 8869s). Manage and organize corporate minute books and other corporate records. Provide transactional support including due diligence coordination, preparing closing documents, and ensuring post-closing requirements are met. Coordinate and compile signature pages and closing binders. Conduct public record searches and assist with various aspects of mergers, acquisitions, financings, and other corporate transactions. Qualifications: Bachelor's degree from an accredited institution; Paralegal certificate preferred. 58+ years of corporate paralegal experience within a corporate law practice setting. Strong experience with entity formation, corporate filings, and transactional processes. Proficient in Microsoft Word, Excel, and PowerPoint. Strong written and verbal communication skills. Excellent proofreading, organization, and time-management abilities. Ability to multitask, prioritize deadlines, and maintain confidentiality. Team-oriented with the ability to work independently and lead when needed. Additional Details: Work Schedule:
MondayFriday, 8:30 AM to 5:00 PM (37.5 hours/week) with a 1-hour lunch break. Work Location:
In-office position (Tysons, VA). Potential for one remote workday per week after onboarding period, based on manager approval. Interview Process:
Multi-step process including phone screening, Zoom interviews, and potentially an onsite interview. Testing Requirements:
