Job Description:
SUMMARY:
The Equity Plan Analyst provides corporate support primarily in the areas of Stock Plan Administration, Board of Directors materials preparation, and Governance. The position administers the Company's equity plans, assists with the preparation of Board materials, and participates in the preparation of compliance and audit deliverables. This position reports to the Assistant Corporate Secretary & Equity Administration Manager, as part of the Office of the Vice President, Corporate Secretary & Chief of Staff, and is located in San Jose, California.
ESSENTIAL FUNCTIONS: Stock Plan Administration
Leading role in the administration of the equity compensation plans, including restricted stock units (RSUs), restricted stock awards (RSAs), and the employee stock purchase plan (ESPP)
Ensure accurate and timely processing of equity transactions, including grants, exercises, and releases
Develop and disseminate stock plan education materials and communications, supporting quarterly and year-end reconciliations and reporting
Manage and review stock awards grants, vesting, sales, and related reporting and legal requirements
Conducts regular service level performance evaluations with the transfer agent related to shareholder inquiries, escheatment, quality control checks of the transfer agent call center and other related matters
Coordinates stock plan activities with the transfer agent
Support the annual Proxy and Compensation Discussion & Analysis (CD&A) reporting
Board Materials and Coordination
Assists the Assistant Corporate Secretary with implementation of all Board-approved policies and resolutions
Assists in the preparation of Board and committee meeting materials
Assists in the maintenance of records of essential activities including bylaws, minutes, policies, resolutions, and other governing documents
Corporate Services
Supports the department of the Corporate Secretary & Chief of Staff
Ensure compliance with internal controls and Sarbanes-Oxley (SOX) regulations, assisting with related testing and documentation
Assists with researching of governance matters and preparing presentation materials as needed
Assists in overseeing subsidiary compliance with state and federal regulations relating to corporate existence
Provides staff support for the Employee Benefits Finance Committee (EBFC), including preparation of meeting materials
Other work as assigned
MINIMUM QUALIFICATIONS:
Bachelor's degree in Accounting, Business, Finance, Human Resources, or related field and/or equivalent relevant experience
Four or more years of increasingly responsible experience working in corporate business functions
Excellent Microsoft Office applications and desktop publishing skills
Valid California Driver License
REQUIRED KNOWLEDGE, SKILLS, AND ABILITIES:
Self-starter with demonstrated project management skills
Working knowledge of stock administration, including the ability to perform basic and complex reconciliations of stock accounts
Experience using equity platforms
Knowledge of relevant regulations, including SEC reporting, SOX compliance, and domestic tax laws related to equity compensation
Basic working knowledge of corporate governance
Detail-oriented and experienced in analyzing and improving processes
Ability to interpret and apply business and governmental laws and regulations
Excellent communication skills, both verbal and written, with all levels of management and employees
Ability to work effectively with agencies, customers, employees, and vendors
Excellent analytical and organizational skills
Reliable team member with strong sense of mission
Excellent problem solving and troubleshooting skills
Ability to handle confidential information
Salary Range: $102,000 - $189,400
