Job Overview The Associate Corporate Counsel plays a pivotal role in the company’s legal, transactional, and compliance functions, with a strong emphasis on corporate, commercial, financing, and real estate matters.

Reporting to General Counsel, this position manages complex transaction data rooms, coordinates closings, prepares and files corporate and regulatory documents, and maintains comprehensive legal records.

The role requires drafting and reviewing commercial agreements; building and maintaining capital partner reporting repositories; and coordinating the review, execution, and storage of legal documents.

The Associate Corporate Counsel serves as a central liaison between internal departments, external counsel, counterparties, and capital partners, ensuring deliverables are accurate, complete, and timely.

This includes proactively identifying and resolving bottlenecks, maintaining organized entity databases and organizational charts, and tracking contract and compliance deadlines.

Responsibilities

Manage transaction data rooms and coordinate transaction closings.

Prepare and file corporate and regulatory documents.

Maintain comprehensive legal records and capital partner reporting repositories.

Draft, review, negotiate, and execute commercial agreements.

Maintain organized entity databases and organizational charts.

Track contract and compliance deadlines and resolve bottlenecks.

Qualifications

Experience in corporate law, commercial transactions, financing, and/or commercial real estate.

Proven ability to independently draft, review, and negotiate commercial agreements.

Excellent organizational skills, attention to detail, and ability to manage multiple priorities across numerous entities.

High‑volume corporate database management experience.

Commercial real estate title and survey review experience.

Business entity formation experience.

BigLaw experience and legal AI functionality are a plus.

Full‑time in office position located in Warwick, RI.

Must be licensed to practice law in the State of Rhode Island.
