Position Overview
We are seeking an experienced In-House Legal Counsel with 5-10+ years of legal experience in corporate transactions. The ideal candidate will have a strong background in mergers and acquisitions, joint ventures, strategic investments, and corporate governance.
Key Responsibilities
Draft, review, and negotiate agreements for reinsurance, debt transactions, M&A, joint ventures, and other corporate matters
Advise on subsidiary corporate governance
Engage and manage outside counsel for specialized matters
Lead and coordinate legal due diligence processes
Collaborate with leadership teams to ensure alignment on transaction structure and execution
Ensure compliance with federal and state laws, securities regulations, and internal policies
Drive project management for complex transactions and cross-functional initiatives
Qualifications
Juris Doctor (JD) from an accredited law school; active license to practice law in at least one U.S. jurisdiction
5-10 years of experience in corporate transactions, including M&A and related areas
Prior experience at a reputable law firm and/or in-house legal department of a U.S. company
Excellent drafting and negotiation skills
Strong judgment and ability to balance legal risk with business objectives
Ability to manage multiple projects in a fast-paced environment
